| Confidentiality Agreement - Banjo‘s and you shall hold in strict confidence all data and shall not divulge the specifications or any part of it to any person or cause any of the specifications to be photocopied or reproduced in any manner whatsoever without the prior written consent of Banjo‘s or yourself.
- Without prior written consent Banjo‘s and you shall not use the information whether in whole or in part for any purpose other than the purpose supplied.
- Banjo‘s and you will limit access to the specifications to persons who reasonably require the specifications for the purposes as specified in clause 2 and who are obliged to treat the data as confidential and who are restrained from using the data in the same manner and to the same extent as provided in this agreement.
- The specifications do not include any information, technical data or other material which it is able to be shown: (a) Is now in, or is subsequently acquired from the public domain or, without fault on your part, becomes the public domain; or (b) Was acquired by you from a person having no obligation of confidentiality relating to such data.
- In the event of non compliance with any of the obligations imposed by this agreement, Banjo‘s or yourself shall be entitled all such appropriate civil remedies as may be granted by any court of competent jurisdiction whether at law or in equity for breach of fiduciary duties, breach of confidentiality, breach of contract, breach of statutory duty or otherwise.
- The obligations contained in this agreement shall remain binding for a period of five (5) years from the date hereof or such shorter period as Banjo‘s may determine.
- This agreement shall be governed by and construed in accordance with the laws of the State of Tasmania.
